1. Acceptance of Terms

By accessing and using Gemtrack ("Service," "Platform," "Application"), you agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service.

Gemtrack reserves the right to make changes to these Terms of Service at any time. Your continued use of the service following any changes constitutes your acceptance of the new Terms of Service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Gemtrack for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modifying or copying the materials
• Using the materials for any commercial purpose or for any public display
• Attempting to decompile or reverse engineer any software contained on Gemtrack
• Removing any copyright or other proprietary notations from the materials
• Transferring the materials to another person or "mirroring" the materials on any other server
• Using the materials for illegal purposes or violating any laws in your jurisdiction
• Conducting automated data collection or scraping

3. Disclaimer of Warranties

The materials on Gemtrack are provided on an "AS IS" basis. Gemtrack makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, Gemtrack does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.

4. Limitations of Liability

In no event shall Gemtrack or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Gemtrack, even if Gemtrack or an authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on Gemtrack could include technical, typographical, or photographic errors. Gemtrack does not warrant that any of the materials on its Internet web site are accurate, complete, or current. Gemtrack may make changes to the materials contained on its web site at any time without notice.

6. Materials and Intellectual Property Rights

The materials contained on Gemtrack are protected by applicable copyright and trade mark law. You acknowledge that Gemtrack retains all intellectual property rights in the Service, including but not limited to:

• Software code and algorithms
• Design and interface elements
• Trademarks and logos
• Documentation and user guides

7. Limitations on Use

You agree not to use Gemtrack in any way that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights
• Engages in harassment, abuse, or threatening behavior
• Submits false or misleading information
• Interrupts the normal flow of dialogue within Gemtrack services
• Attempts to gain unauthorized access to the system
• Uses automated tools to access or use the service
• Transmits viruses, malware, or other harmful code

8. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account. You must notify Gemtrack immediately of any unauthorized use of your account.

You are solely responsible for the content, accuracy, and legality of data you upload or store on Gemtrack, including all gemstone information, financial records, and contact details.

9. Payment Terms & Refund Policy

Gemtrack offers a free plan with limited usage and a paid subscription with expanded features. Paid subscriptions are billed monthly. You authorize Gemtrack to charge your payment method on file for all applicable fees. All fees are exclusive of applicable taxes unless stated otherwise. Gemtrack reserves the right to change pricing with 30 days' notice.

You may cancel your subscription at any time, and access will continue until the end of your current billing period. No refunds will be issued for partial billing periods. After the billing period ends, your account will automatically revert to the free plan.

10. Cancellation and Termination

You may cancel your subscription at any time through your account settings or by contacting support@gemtrack.lk. Upon cancellation, your paid features will remain active until the end of your current billing period, after which your account will revert to the free plan.

Gemtrack reserves the right to terminate or suspend your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or engaged in illegal activity.

11. Data Backup and Recovery

While we implement security measures to protect your data, we cannot guarantee 100% data availability or recovery. You are responsible for maintaining your own backups of critical data. In the event of data loss, we are not liable for recovery costs or lost business.

12. Third-Party Services

Gemtrack may integrate with third-party services for payment processing, cloud storage, and other functionality. Your use of these services is subject to their respective terms and policies. Gemtrack is not responsible for third-party service failures or data loss.

13. Indemnification

You agree to indemnify and hold harmless Gemtrack and its officers, directors, employees, and agents from and against all claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law
• Infringement of intellectual property rights by your content

14. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Sri Lanka, and you irrevocably submit to the exclusive jurisdiction of the courts located in Sri Lanka.

15. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and Gemtrack and supersedes all prior agreements and understandings, whether written or oral.
